1. Acceptance of Terms & Eligibility

1.1. Acceptance of Terms

PLEASE READ THESE TERMS OF SERVICE CAREFULLY. THEY CONSTITUTE A LEGALLY BINDING AGREEMENT BETWEEN YOU AND THE APPLICABLE SHOTAKE ENTITY ("Company," "we," "us," or "our") DETERMINED BY YOUR COUNTRY OF RESIDENCE:

• If you reside in the United States, your agreement is with Shotake Inc., a company registered in the State of Delaware, USA.
• If you reside anywhere else in the world (including the European Union and the United Kingdom), your agreement is with Shotake Limited, a company registered in Cyprus.

These Terms govern your access to and use of the Jackpot Sounds website and any associated services, features, and content (collectively, the "Services").

IMPORTANT NOTICE REGARDING DISPUTE RESOLUTION: THESE TERMS CONTAIN A MANDATORY ARBITRATION PROVISION AND A WAIVER OF CLASS ACTION RIGHTS. BY AGREEING TO THESE TERMS, YOU AGREE TO RESOLVE ALL DISPUTES THROUGH BINDING INDIVIDUAL ARBITRATION, WHICH MEANS THAT YOU WAIVE ANY RIGHT TO HAVE THOSE DISPUTES DECIDED BY A JUDGE OR JURY, AND THAT YOU WAIVE YOUR RIGHT TO PARTICIPATE IN CLASS ACTIONS, CLASS ARBITRATIONS, OR REPRESENTATIVE ACTIONS.

1.2. Age Restrictions and Eligibility

The Site contains information and user-generated content related to simulated and real-money gambling. Therefore, access to the Site is strictly age-restricted.

The Services are intended solely for individuals who are at least 18 years old, or the minimum legal age required to access gambling-related content or engage with gambling advertising in their jurisdiction, whichever is greater.

2. Nature of Services

2.1. Platform Overview

• The Social & Replay Hub (Base Mode): By default, and in all jurisdictions where we do not hold specific affiliate licenses or where local regulations restrict gambling-related advertising, the Site operates strictly as a social platform and user-generated content (UGC) forum. In this mode, users can voluntarily upload, share, discuss, and view video replays or screenshots of gameplay (Replays) for entertainment purposes only. No affiliate links or real-money transactional opportunities are provided in this mode.
• The Affiliate Directory (Permitted Mode): Exclusively in jurisdictions where the Company is legally permitted, licensed, or authorized to conduct affiliate marketing for the iGaming industry, the Site may display informational content, reviews, and directories containing affiliate links to legally licensed online casino brands and iGaming operators ("Operators").

2.2. Important Disclaimers Regarding Our Services

PLEASE READ CAREFULLY. To avoid any misunderstanding regarding the nature of our business, you explicitly acknowledge and agree to the following:

• We Are Not a Gambling Operator: Jackpot Sounds is strictly a media, technology, and marketing platform. We are not an online casino, gambling operator, or sports betting platform. We do not host, operate, or provide any real-money games on our servers.
• No Real-Money Transactions: We do not accept bets, wagers, or deposits. We do not hold player funds, process withdrawals, or facilitate any real-money gambling transactions.
• No Guarantee of Winnings: The Replays and content uploaded to the Site by users and providers showcase specific instances of gameplay. We do not guarantee that you will achieve similar results, winnings, or odds if you choose to play the same games. Past performance in a Replay is not indicative of future results.

If you choose to click on an affiliate link, register an account, and deposit funds with a third-party Operator, that relationship is strictly between you and the Operator.

Jackpot Sounds is not responsible for the acts, omissions, terms of service, privacy practices, or payout policies of any third-party Operator. It is your sole responsibility to investigate the Operators and verify their terms and conditions before engaging in any real-money play.

3. Territorial Restrictions & Geofencing

3.1. Jurisdictional Limitations and Geofencing

Jackpot Sounds operates on a global scale. However, the availability of specific features, particularly the Affiliate Directory, is strictly dictated by local gaming laws, advertising regulations, and our licensing status. We employ automated geofencing technologies to tailor the user experience based on your physical location:

• Permitted Affiliate Jurisdictions: Users accessing the Site from fully regulated markets where our affiliate operations are explicitly permitted will have access to the Affiliate Directory, promotional offers, and outbound links to Operators.
• Restricted Jurisdictions (Social Hub Access Only): For users accessing the Site from restricted, closed, or unlicensed jurisdictions, the Site will automatically restrict access solely to the Social & Replay Hub (Base Mode) and our Responsible Gambling educational materials. No affiliate links, marketing materials, or promotions related to real-money Operators will be intentionally displayed or made available to users in these locations.

3.2. User Responsibility and Prohibition of Circumvention

Because the Site is accessible globally, Jackpot Sounds cannot guarantee that your use of the Site, or the display of specific content, is lawful in your specific jurisdiction.

Your Sole Responsibility: You assume full and sole responsibility for determining whether local laws permit you to view gambling-related content, participate in a gambling-related forum, or engage with any third-party Operator.

Strict Prohibition of Circumvention (VPN Ban): You categorically agree NOT to use Virtual Private Networks (VPNs), proxies, IP spoofing, location-masking software, or any other technological methods to bypass, circumvent, or manipulate our geofencing controls to artificially alter your perceived location.

Assumption of Risk and Liability Waiver: Any attempt to circumvent our geofencing to access the Affiliate Directory from a Restricted Jurisdiction constitutes a material breach of these Terms. Jackpot Sounds explicitly disclaims any and all liability—legal, regulatory, or financial—arising from your unauthorized access. If you bypass our location checks, you do so entirely at your own risk, and your access to the Site may be permanently terminated without notice.

3.3. FTC and International Affiliate Disclosure

In compliance with the U.S. Federal Trade Commission (FTC) guidelines and international advertising standards, Jackpot Sounds transparently discloses that it operates as an independent affiliate marketing platform.

• Compensation: We may receive monetary compensation, commissions, or referral fees from the Operators featured, reviewed, or linked to within the Affiliate Directory when you click on links or register accounts.
• Cost to You: This compensation does not incur any additional cost to you, nor does it affect the odds or outcomes of any games you choose to play on third-party Operator sites.

4. USER SUBMISSIONS (UGC) AND REPLAYS

4.1. Guest Submissions

Jackpot Sounds currently operates without mandatory user account registration. Users and game providers may submit Replays and feedback via designated web forms ("Guest Submissions"). When submitting content, you may be asked to provide basic contact information (such as a nickname and email address). You agree to provide accurate information and understand that all Submissions are subject to these Terms, regardless of your account status.

4.2. User Submissions and Replays

The Site allows users and game providers to post, upload, publish, submit, or transmit video recordings, screenshots, audio (including "Jackpot Sounds"), and related commentary concerning casino gameplay (collectively, "Submissions" or "Replays").

Ownership and License: You retain ownership of your Submissions. However, by posting or providing any Submission, you grant Jackpot Sounds an irrevocable, perpetual, non-exclusive, royalty-free, worldwide, fully sub-licensable license to use, copy, display, distribute, modify, and create derivative works from such Submissions in any media now known or hereafter devised, for any purpose (including commercial and marketing purposes) without any payment to you.

Accidental Disclosure (Self-Doxxing): You are solely responsible for blurring, redacting, or removing any sensitive, financial, or personally identifiable information (PII) from your video Replays or screenshots prior to submission. Jackpot Sounds assumes zero liability for any damages, identity theft, or privacy violations resulting from your failure to remove personal data from your uploaded Submissions.

Notwithstanding the above, if you have accidentally included your personally identifiable information (PII) in a submitted Replay and wish to have it removed to comply with your privacy rights (including the GDPR Right to Erasure), please contact us at [Email]. We will make reasonable commercial efforts to promptly remove, blur, or anonymize the requested content upon a verified request.

Responsibility and Warranties: You are solely responsible for your Submissions. By uploading a Replay, you represent and warrant that:

• You either are the sole and exclusive owner of all Submissions, or you have all rights, licenses, consents, and releases necessary to grant us the license to the Submissions.
• The Replay is authentic, unaltered, and accurately represents actual gameplay, and is not materially manipulated to deceive viewers regarding the mechanics, payouts, or odds of the featured game.

4.3. Content Moderation and Service Restrictions

In compliance with Article 14 of the Digital Services Act, we transparently disclose that we monitor, review, and moderate User Submissions and Replays primarily through a combination of automated filters and manual human review. If we determine that any content constitutes illegal content or is incompatible with our terms and conditions (including the Prohibited Content rules), we reserve the right to impose restrictions. These restrictions may include removing the content, disabling access to it, restricting its visibility, or suspending/terminating the provision of our services to the user involved. We commit to acting in a diligent, objective, and proportionate manner when enforcing these restrictions, with due regard to the fundamental rights and legitimate interests of all parties involved, including the freedom of expression and information.

4.4. Prohibited Content

You agree not to post, submit, or transmit any material that:

• Is illegal, obscene, defamatory, threatening, harassing, or hateful.
• Infringes upon the intellectual property rights, privacy rights, or other rights of any third party (including game developers and software providers).
• Promotes underage gambling or is explicitly directed at minors.
• Contains viruses, malware, or any other harmful code.

We reserve the absolute right, but undertake no obligation, to monitor, edit, hide, or permanently delete any User Submissions at any time, for any reason, or for no reason at all, at our sole and absolute discretion, and without prior notice to you. Furthermore, we may permanently ban your IP address or restrict your access to the Site without liability if we suspect a violation of these Terms.

5. Content Moderation, DMCA & EU DSA Notices

5.1. Our Intellectual Property

The Site, Services, and all content contained therein (excluding user-generated Submissions), including but not limited to text, graphics, images, logos, button icons, software, code, audio clips, data compilations, and the "look and feel" of the Site (collectively, "Company IP"), are the property of Jackpot Sounds or our licensors and are protected by United States copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

5.2. Notice and Action Mechanism (EU Digital Services Act)

In accordance with Article 16 of the Digital Services Act, any individual or entity may notify us of the presence of specific items of information on our Site that they consider to be illegal content under applicable Union or national law. We will process all notices in a timely, diligent, non-arbitrary, and objective manner and will notify the reporting party of our decision and any possibilities for redress.

5.3. Digital Millennium Copyright Act (DMCA) Notice

We respect the intellectual property rights of others, including casino game developers, software providers, and content creators. If you believe that any material available on or through the Site infringes upon your copyright, please notify our Designated Copyright Agent immediately ("DMCA Notice").

To be effective, the DMCA Notice must include the following:

• Signature: A physical or electronic signature of a person authorized to act on behalf of the owner of the copyright interest.
• Identification of Work: A description of the copyrighted work (e.g., specific game software, audiovisual assets) that you claim has been infringed.
• Identification of Material: A description of where the material that you claim is infringing is located on the Site (sufficient to allow us to locate the material).

• Good Faith Statement: A statement that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law.

6. Prohibited Conduct

6.1. Acceptable Use

 You agree that you will NOT:

• Viruses and Malware: Transmit or upload any files, software, or programs that contain viruses, Trojan horses, worms, time bombs, cancelbots, or any other harmful or deleterious software programs.
• Reverse Engineering: Decompile, reverse engineer, disassemble, attempt to derive the source code of, or decrypt the Site or any underlying software.
• Fraudulent Replays: Upload simulated, altered, or artificially generated Replays with the intent to mislead viewers about the actual mechanics, volatility, or payout potential of a specific casino game.
• Harvesting Info: Collect or harvest any personally identifiable information (PII), including email addresses or nicknames, from other users of the Site.
• Impersonation: Impersonate any person, entity, or game developer, or falsely state or otherwise misrepresent your affiliation with a person or entity.
• AI and Machine Learning Ban: You are strictly prohibited from scraping, crawling, or downloading any content from the Site (including User Submissions, Replays, and Affiliate Directory data) for the purpose of developing, training, or fine-tuning any artificial intelligence (AI) algorithms, machine learning models, or large language models (LLMs) without our express, prior written consent.

We reserve the right to block your IP address or restrict your access to the Site immediately, without notice, if we believe you have violated any of these restrictions.

7. Responsible Gambling

8.2. Third-Party Products, Services, and Promotional Offers

Through the Affiliate Directory or Replay Hub, you may be presented with promotional offers, bonuses, or opportunities to register accounts with third-party Operators.

• No Endorsement: The inclusion of any link or offer does not imply our endorsement, sponsorship, or guarantee of that Third-Party or their services. We do not vouch for the solvency, business practices, payout reliability, or service quality of any Operator.

8.3. User Responsibility

You agree that it is your sole responsibility to investigate the Operators and to verify the terms, conditions, wagering requirements, and withdrawal policies of any bonus or account before you participate.

8.4. Release of Liability

You hereby release Jackpot Sounds and its affiliates from any and all claims, demands, and damages (actual and consequential) of every kind and nature, known and unknown, arising out of or in any way connected with:

• Your interactions with any Operator or Third-Party found through the Site;
• The failure of an Operator to honor a promotional offer, process a withdrawal, or resolve a gameplay dispute;
• Any financial losses, damages, or legal implications incurred as a result of playing real-money games on a Third-Party Site.

9. Disclaimer of Warranties & Limitation of Liability

9.2. No Gambling Guarantees

WITHOUT LIMITING THE FOREGOING, WE DO NOT WARRANT OR GUARANTEE THAT ANY REPLAYS ACCURATELY REFLECT YOUR CHANCES OF WINNING OR THAT ANY OPERATOR WILL OFFER YOU SPECIFIC BONUSES OR PAYOUTS. FINAL RULES, ODDS, AND PAYOUTS ARE DETERMINED SOLELY BY THE THIRD-PARTY OPERATORS AND GAME DEVELOPERS. YOU UNDERSTAND THAT THE SITE IS AN INFORMATIONAL TOOL AND DOES NOT CONSTITUTE FINANCIAL, TAX, LEGAL, OR PSYCHOLOGICAL ADVICE.

9.3. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE COMPANY BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GAMBLING LOSSES, REVENUE, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF THE SITE OR SERVICES. THIS LIMITATION APPLIES REGARDLESS OF THE LEGAL THEORY AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

9.4. Liability Cap

NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SITE SHALL AT ALL TIMES BE LIMITED TO THE GREATER OF: (A) THE AMOUNT PAID BY YOU TO US FOR THE USE OF THE SITE DURING THE SIX (6) MONTHS PRIOR TO THE CLAIM, OR (B) FIVE HUNDRED U.S. DOLLARS ($500.00).

9.5. No Entitlement to Commissions and Tax Liability:

You acknowledge that you have no right, title, or interest in any affiliate commissions or revenues generated by Jackpot Sounds. Furthermore, you are solely responsible for declaring and paying any applicable local, state, or national taxes on any winnings you may acquire from third-party Operators.

9.6. Indemnification

You agree to defend, indemnify, and hold harmless Jackpot Sounds from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from your use of the Site, your Submissions (Replays), your violation of these Terms, or your violation of any third-party rights (including intellectual property or copyright infringement via UGC). This indemnification obligation specifically includes any regulatory fines, penalties, or legal fees incurred by Jackpot Sounds as a direct or indirect result of your unlawful activities or attempts to bypass our geofencing systems.

9.7. Opt-Out Right

You have the right to opt out of this arbitration agreement. To opt out, you must notify us in writing within thirty (30) days of the date you first became subject to this provision (i.e., your first use of the Site). You must send your opt-out notice to [Email/Address]. If you opt out, all other parts of these Terms will continue to apply to you.

10. Dispute Resolution & Governing Law

10.1. Pre-Arbitration Dispute Resolution

Before initiating any arbitration or proceeding, you and the Company agree to attempt to negotiate any dispute, claim, or controversy informally for at least thirty (30) days. You must send your Dispute Notice to our legal email describing the nature of the claim and the specific relief sought.

10.2. Dispute Resolution for US Residents (Shotake Inc.)

If you reside in the United States, and the dispute is not resolved within 30 days, any remaining dispute, controversy, or claim arising out of or relating to these Terms shall be resolved by binding arbitration administered by JAMS in accordance with its Streamlined Arbitration Rules and Procedures. You understand that by agreeing to arbitration, YOU WAIVE THE RIGHT TO A TRIAL BY JURY or to participate in a court trial.

10.3. Dispute Resolution for Non-US Residents (Shotake Limited)

If you reside outside the United States, and the dispute is not resolved within 30 days, any remaining dispute, controversy, or claim arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the competent courts of the Republic of Cyprus. However, this agreement does not restrict your right to lodge a complaint with a supervisory authority or to seek an effective judicial remedy before the competent courts of your Member State of residence as provided by the GDPR or other mandatory consumer protection laws applicable in your jurisdiction.

10.4. Class Action Waiver
